These Terms and Conditions (“Terms”) govern access to and use of ClaraWell Health platforms and all related domains operated by ClaraWell Inc.
ClaraWell Inc. is a Delaware, United States corporation, incorporated February 14, 2025.
Acceptance of Terms
By accessing or using ClaraWell platforms, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
Eligibility
The platform is intended for individuals 18 years of age or older. By using the platform, you represent and warrant that you meet this requirement.
Nature of the Platform
ClaraWell platforms currently operate in a pre-deployment state. Tools and content are provided for informational and developmental purposes only.
ClaraWell does not provide medical diagnosis, treatment, or clinical services through publicly accessible platforms.
No Medical Advice
Information provided does not constitute medical advice and is not a substitute for consultation with a licensed healthcare professional.
You acknowledge that any reliance on information provided through the platform is at your own discretion and risk.
No Emergency Use
ClaraWell platforms are not intended for emergency use. If you are experiencing a medical emergency, contact local emergency services immediately.
User Responsibilities
- Use the platform lawfully and in accordance with these Terms.
- Do not misuse, interfere with, or attempt unauthorized access to systems.
- Do not represent ClaraWell tools as providing medical diagnoses or treatment.
Modification or Suspension of Services
ClaraWell Inc. may modify, suspend, or discontinue any portion of the platform at any time without prior notice.
Third-Party Services
The platform may reference, integrate, or rely upon third-party services or infrastructure. ClaraWell Inc. is not responsible for the content, accuracy, availability, or practices of third-party providers.
Intellectual Property
All content, software, trademarks, and materials are the property of ClaraWell Inc. or its licensors and are protected by applicable intellectual property laws.
Notwithstanding the Arbitration Agreement below, ClaraWell Inc. may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.
Disclaimer of Warranties
The platform is provided “as is” and “as available.” ClaraWell Inc. makes no warranties regarding accuracy, completeness, reliability, or fitness for a particular purpose.
Limitation of Liability
To the maximum extent permitted by law, ClaraWell Inc. shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to use of the platform.
In no event shall ClaraWell Inc.’s total aggregate liability arising out of or relating to these Terms exceed one hundred U.S. dollars (USD $100).
Indemnification
You agree to indemnify and hold harmless ClaraWell Inc., its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses arising from your misuse of the platform or violation of these Terms.
Force Majeure
ClaraWell Inc. shall not be liable for delays or failures resulting from causes beyond its reasonable control, including acts of government, natural disasters, infrastructure failures, service provider disruptions, or other force majeure events.
Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or use of the platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in the State of Delaware, United States.
Arbitration shall be conducted on an individual basis and not as a class, collective, consolidated, or representative action.
Class Action Waiver
You agree that any claims will be brought solely in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
Jury Trial Waiver
You waive any right to a trial by jury in any proceeding arising out of or relating to these Terms.
Governing Law & Venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
If arbitration is found unenforceable for any reason, exclusive jurisdiction shall lie in the state or federal courts located in Delaware.
Export Compliance
You agree not to use the platform in violation of applicable United States export control laws or regulations.
Assignment
You may not assign or transfer these Terms without prior written consent. ClaraWell Inc. may assign these Terms without restriction.
Regulatory & Jurisdictional Scope
ClaraWell platforms are publicly accessible via the internet. Public accessibility does not constitute targeted marketing or regulatory submission within any specific jurisdiction.
ClaraWell Inc. reserves the right to restrict access in jurisdictions where regulatory requirements materially change.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
Survival
Provisions relating to intellectual property, limitation of liability, indemnification, arbitration, governing law, and venue shall survive termination of access to the platform.
Entire Agreement
These Terms constitute the entire agreement between you and ClaraWell Inc. regarding use of the platform and supersede prior agreements or understandings.
Changes to Terms
ClaraWell Inc. may update these Terms periodically. Continued use after updates constitutes acceptance of the revised Terms.
